Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services, website, and content provided by Raystead, operated by DLRF, Inc. ("Raystead," "we," "us," or "our") at raystead.com. By using this site, booking a call, or subscribing to our services, you ("Client," "you," "your") agree to these Terms. We've written them in plain language on purpose — if anything is unclear, ask us: hello@raystead.com.
1. What we provide
Raystead provides a business service called the Digital Front Desk. It includes: AI-powered answering of your business's phone calls, text messages, and website chat; appointment booking onto your calendar; a mobile app where your leads and conversations are stored; a professional website built for your trade; automated Google review requests sent to your customers; and weekly live training sessions and office hours (recorded). The service is for business use, not personal use.
2. Eligibility
To subscribe, you must be at least 18 years old, own or be an authorized representative of an active service business, have the legal authority to enter these Terms for that business, and provide accurate, current information during onboarding. Raystead may refuse, suspend, or end service at our reasonable discretion if these requirements aren't met or if continuing the engagement isn't workable for either party.
3. Price and billing
The subscription is $297 per month, billed monthly in advance to the payment method you provide, beginning on the date of your first successful payment and renewing monthly on that date. There are no setup fees, onboarding fees, or surprise add-ons — the monthly fee is the complete cost of the service described at the time you subscribe. Our plans and pricing may change over time. We may increase your subscription price by giving you at least thirty (30) days' advance notice by email; the new price applies starting with your next billing cycle after the notice period, and is never applied retroactively. If you don't accept a price change, you may cancel under Section 4 before it takes effect. You authorize us to charge your payment method for all applicable fees, and you're responsible for applicable taxes (except taxes on our net income). If a payment fails, we'll contact you and retry; repeated failures may lead to suspension or termination, and you remain responsible for unpaid fees.
4. Cancellation
You may cancel at any time with thirty (30) days' notice — the service is month to month, with no long-term contracts and no cancellation fees. Cancellation must be in writing: send an email to hello@raystead.com from the email address on your account. Your notice period starts on the date we receive it. Cancellation takes effect thirty (30) days after your notice: the service keeps running through that period, any billing date that falls within the notice period is billed as normal, and you won't be billed after cancellation takes effect. Because we perform work throughout the billing cycle, cancellation doesn't entitle you to a refund for amounts already billed. If Raystead terminates your subscription under these Terms, we may refund a prorated portion of the current month at our discretion.
5. Usage
Your subscription covers the Digital Front Desk system as described at the time you subscribe. Usage of the system — such as voice-call minutes, text messages, and AI conversations — is paid for by you as part of your plan. Raystead may choose to cover or include some or all usage costs at its own expense; when we do, that is at our discretion and doesn't obligate us to continue doing so. Any change to what you actually pay comes with the thirty (30) days' notice described in Section 3.
6. The AI, honestly
Parts of the service are powered by artificial intelligence. Our assistant introduces itself as your business's digital front desk and never claims to be human; if asked directly, it answers honestly. AI is capable but not perfect: it can occasionally misunderstand a caller or give an imperfect answer. Every conversation is saved word for word in your app so you can review anything. You're responsible for reviewing the information we train your front desk on (your services, hours, service area) and keeping it current.
7. No results promises
We do not guarantee leads, revenue, booked jobs, Google rankings, review counts, or any other business outcome — and we don't believe anyone honestly can. What we provide is the working system described above. Business outcomes depend on many factors outside our control, including the quality of your work, your pricing, and your market.
8. Your responsibilities
You agree to: provide accurate, truthful information about your business, services, and credentials; hold the licenses your trade requires; use the service only for lawful business purposes; honor the appointments the system books for you or reschedule them promptly; and hold the rights to any materials (logos, photos, text) you provide us for your website or front desk. You agree not to share Raystead's non-public methods, prompts, or materials with our competitors.
9. Messaging consent and compliance
The system sends text messages and review requests on your behalf, to your customers and leads. You confirm that the people we contact for you are your genuine customers or people who contacted your business, and that you have the right to communicate with them. Opt-out requests (like "STOP") are honored automatically. You agree not to upload purchased contact lists or ask us to message people who have no relationship with your business.
10. Google reviews
The system can send review requests to your customers when you choose to send them in the app. We handle review requests in accordance with Google's terms and policies. Reviews are written by your customers in their own words; we cannot and do not control what they say or what Google displays.
11. Acceptable content
We will not build websites, train your front desk, or send messages containing content that is false or misleading, makes unsupported claims, violates any law or platform policy, infringes third-party rights, promotes hatred or harassment, is sexually explicit, or is designed to defame or disparage any person or competitor. We may decline any such request at our sole discretion, and repeated requests for prohibited content may result in termination under Section 4.
12. Your website and your domain
Your plan includes a professional website that we build and host for you. If you cancel, the website and hosting end with your subscription — but your website address (your domain) is yours and goes with you. We'll cooperate in transferring the domain to you or your new provider.
13. Your data and our materials
Your business data — your leads, customers, conversations, and appointments — belongs to you. If you cancel, ask within 30 days and we'll provide an export of your data. Materials you provide us remain yours; you grant us a non-exclusive license to use them solely to perform the service. The Digital Front Desk system itself — the software, prompts, templates, designs, methods, and the Hope assistant — remains the exclusive property of Raystead. If you give us feedback or suggestions, we may use them without obligation to you.
14. Coaching sessions
Weekly live training and office hours are part of the service. Sessions are recorded, and recordings may be shared with other Raystead members. By joining a live session you consent to being recorded. Coaching is general business education based on our experience — it is not legal, financial, accounting, or other professional advice, and no business outcome is promised.
15. Third-party services
The service is built on established third-party technology, including telephone carriers, messaging networks, hosting, and software platforms. We choose these carefully, but we don't control them, and we're not responsible for their outages, policy changes, or enforcement actions. We work hard to keep everything running and will always work to restore service promptly, but we cannot promise uninterrupted, error-free service.
16. Suspension and termination by us
We may suspend or end the service with written notice if payments fail, if these Terms are violated, if the service is used unlawfully or abusively, or if continuing the engagement isn't viable at our reasonable discretion. If we ever discontinue the service entirely, we'll give you at least 30 days' notice, and Sections 12 and 13 (your domain, your data) still apply.
17. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." RAYSTEAD MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AND DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RAYSTEAD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, AND DOES NOT WARRANT ANY PARTICULAR BUSINESS RESULT.
18. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAYSTEAD, ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF REVENUE, PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE. IN NO EVENT SHALL RAYSTEAD'S TOTAL AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT YOU PAID TO RAYSTEAD IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
19. Indemnification
You agree to defend, indemnify, and hold harmless Raystead, its officers, employees, contractors, and affiliates from claims, damages, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the service; (b) your violation of these Terms or any law; (c) your business's services to its customers; (d) materials or contact lists you provide; or (e) the truthfulness of information you provide about your business.
20. Changes to these Terms
We may modify these Terms. Material changes will be communicated by email to the address on your account at least fourteen (14) days before they take effect. Continued use after a change takes effect constitutes acceptance. If you don't accept a change, your remedy is to cancel under Section 4.
21. Governing law and dispute resolution
These Terms are governed by the laws of Illinois, without regard to conflict-of-laws principles. Before filing any formal claim, both parties agree to attempt in good faith to resolve any dispute by direct communication for at least thirty (30) days after written notice. Any dispute not resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, held in DuPage County, Illinois; judgment on the award may be entered in any court of competent jurisdiction. You and Raystead each agree to bring claims only in an individual capacity, not as a plaintiff or class member in any class or representative proceeding. Either party may seek injunctive relief in court for claims involving intellectual property, confidentiality, or restraining breach of these Terms.
22. Miscellaneous
These Terms, together with the Privacy Policy and any addendum executed between the parties, are the entire agreement between you and Raystead regarding the service. If any provision is unenforceable, the rest remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; Raystead may assign them without restriction. Neither party is liable for failure to perform due to causes beyond reasonable control (including natural disasters, war, labor disputes, government action, platform outages, or internet failures).
